TERMS OF SERVICE
ENGAGE VIDEO PRODUCTION LLC
Plain English Overview
Between us, Engage Video Production LLC ("Producer") and you ("Client").
We aim to do excellent work and deliver strong results. At the same time, it’s important that both sides understand expectations, responsibilities, and what happens if things change.
This document outlines how we work together so projects run smoothly, on time, and within scope.
1. Agreement
You are hiring Engage Video Production LLC to produce the deliverables outlined in your proposal.
This agreement becomes effective once your proposal is signed and the initial payment is received.
2. Roles and Responsibilities
Client Responsibilities
You agree to:
- Provide all necessary materials (text, assets, access, etc.) in a timely manner
- Review work and provide feedback within agreed timelines
- Assign a single point of contact for all communication and approvals
- Consolidate feedback from all stakeholders
- Adhere to the agreed payment schedule
Producer Responsibilities
We agree to:
- Deliver the project as outlined in the proposal
- Perform services in a professional and timely manner
- Communicate clearly throughout the project
- Maintain confidentiality of your information
We are not responsible for delays caused by:
- Late client feedback
- Missing materials
- Delayed approvals
3. Payment Terms
Unless otherwise specified:
- 50% deposit is required to begin work
- 50% is due prior to delivery of final files
The deposit is non-refundable, as it secures production time, crew, and resources.
Alternative payment structures may be agreed upon in writing.
4. Project Scope
The scope of work is defined in your proposal.
Any changes beyond that scope may require:
- Additional fees
- Timeline adjustments
Significant changes to messaging, structure, or direction may require a new project agreement.
5. Revisions
Each project includes:
- Two (2) rounds of revisions
Additional revisions are billed at:
- $200 per hour (1-hour minimum)
Revisions are intended for:
- Minor adjustments
- Refinements
- Polishing
Major changes to concept, structure, or messaging fall outside of revision scope.
All feedback must come from the designated point of contact.
6. Timeline and Delays
Project timelines will be outlined in your proposal.
Delays caused by the Client may result in:
- Timeline extensions
- Additional fees
Projects inactive for extended periods may require rescheduling or reactivation fees.
7. Expenses
Producer Covers:
- Production and crew costs
- Crew travel related to production
- Equipment and gear rentals
Client Covers:
- Talent (Sourcing, selection, hiring, etc.)
- Locations
Producer may assist with coordination, but is not responsible for third-party performance, availability, or conduct.
Additional expenses outside the original scope will require written approval.
8. Cancellation & Re-Shoots
Re-Shoots
If requested by the Client, re-shoot costs will be billed accordingly.
Shoot Cancellation
- Minimum cancellation fee: $1,500 (excluding taxes/fees)
- Applies if canceled within 7 days of scheduled shoot
Costs may increase depending on (but not limited to):
- Crew bookings
- Travel
- Talent
- Locations
9. Storage & File Retention
We offer to store and archive your project files and footage for a monthly subscription fee.
With Storage Subscription
- Files stored as long as subscription is active
- Digital delivery within 1–3 business days
- Physical delivery may be available (additional fees may apply, and delivery timeline will vary upon location and method)
Without Subscription
- No obligation to archive files
- Files deleted within 2 weeks of project completion
Raw Footage
Available upon request:
- Starting at $500 (varies by project)
- Delivered digitally or via client-supplied hard drive
10. Ownership & Usage
Upon full payment:
- Client owns final deliverables
Producer retains the right to:
- Use project for portfolio and promotional purposes
Confidential or sensitive work will be handled appropriately and discussed as needed.
11. Third-Party Rights
Projects may include:
- Licensed music
- Stock footage
- Talent agreements
These may carry usage limitations, which will be communicated as needed.
12. Accuracy & Liability
Client is responsible for accuracy of all provided content.
Producer is not liable for:
- Errors in client-provided materials
- Indirect or consequential damages
All work is subject to client approval prior to final delivery.
13. Termination
Either party may terminate with written notice.
Client is responsible for payment of all work completed up to termination.
Deposit remains non-refundable.
14. Confidentiality
Both parties agree to keep confidential information private and use it only for the project.
15. Governing Law
This Agreement is governed by the laws of the State of Arkansas, United States.
16. Entire Agreement
This document, along with your proposal, constitutes the full agreement.
Any modifications must be agreed to in writing.
